Terms & Conditions

These Terms & Conditions govern your access to and use of reachmeridian.com and portal.reachmeridian.com and your participation in any program offered by ReachMeridian LLC. Please read them carefully before accessing our services.

Acceptance of Terms

By accessing reachmeridian.com or portal.reachmeridian.com (collectively, the "Sites"), or by participating in any program, session, or service offered by ReachMeridian LLC ("Meridian," "we," "us," or "our"), you ("User," "Member," or "you") agree to be bound by these Terms & Conditions ("Terms"), our Privacy Policy, and any additional agreements applicable to your membership or participation.

If you do not agree to these Terms, you must discontinue use of the Sites and may not participate in any Meridian program.

About Meridian

Meridian is a private, invitation-only music development and coaching program operated by ReachMeridian LLC, a New Jersey limited liability company. Meridian provides structured, curriculum-based development for serious artists and producers, including one-on-one coaching sessions, personalized development programs, distribution support, and access to a private member portal.

Meridian is not a recording studio, school, or generic coaching service. All in-person sessions are conducted at a confidential studio location in Cherry Hill, New Jersey. Access is selective and at Meridian's sole discretion.

Eligibility and Access

General Eligibility

Use of the Sites is available to individuals who are 18 years of age or older. Minors may not create accounts or participate in Meridian programs without the express written consent of a parent or legal guardian, who shall be bound by these Terms on the minor's behalf.

Membership

Participation in the Meridian program requires a separate executed Membership Agreement (Form RM-001, RM-002, or RM-003, as applicable). These Terms are incorporated by reference into all Membership Agreements. In the event of a conflict between these Terms and a Membership Agreement, the Membership Agreement shall control.

Portal Access

Access to portal.reachmeridian.com is restricted to current members who have received an invitation and activated their account. Unauthorized access attempts are strictly prohibited.

Membership and Services

Tiers and Fees

Meridian offers membership tiers for artists and producers, each with a mandatory minimum 12-month term. Membership fees are as set forth in the applicable Membership Agreement and are subject to change upon written notice. All fees are non-refundable except as expressly provided in the Membership Agreement.

Session Policies

Members are required to maintain attendance and engagement standards as outlined in their Membership Agreement. A member who misses two (2) sessions will be subject to a formal review. Three (3) missed sessions will result in immediate termination of membership, with no refund of prepaid fees.

Communications

All members are required to respond to communications from Meridian within forty-eight (48) hours. Failure to maintain timely communication may be considered a violation of the Membership Agreement.

Intellectual Property

ReachMeridian LLC owns 100% of all Works produced under membership from the moment of creation. Members earn royalties on revenue generated by their specific work, as described in their Membership Agreement.

Ownership of Works

All audio recordings, compositions, beats, instrumentals, stems, and related creative works ("Works") produced by or on behalf of a member during the term of membership are the exclusive property of ReachMeridian LLC from the moment of their creation, regardless of who conceived or performed them.

Royalties

Members and producers may earn royalties on Net Revenue generated by their specific Works, subject to the royalty schedule in their Membership Agreement. No royalties are owed to Meridian during the first year of membership. Royalty obligations begin in Year 2 as set forth in the applicable agreement.

Master Transfer

Members may request a voluntary transfer of master rights through the Master Transfer Agreement (Form RM-MRA), subject to payment of the applicable Master Transfer Fee and compliance with all membership obligations. Transfers are not available to members who have been terminated for Zero Tolerance Violations.

Site Content

All content on the Sites, including text, graphics, logos, and design elements, is the property of ReachMeridian LLC and may not be copied, reproduced, or distributed without prior written consent.

Confidentiality

The location of Meridian's studio premises and the identity of Meridian's Owner are strictly confidential. Disclosure through any channel — including social media — constitutes grounds for immediate termination.

Studio Location

The physical address and identifying geographic information of Meridian's studio are strictly confidential. Members and site visitors who become aware of this information through any means are prohibited from disclosing it through any channel, at any time, indefinitely.

Owner Identity

The identity of Meridian's Sole Member and Owner is confidential business information. Its disclosure through any channel, including social media, constitutes a Zero Tolerance Violation and may expose the disclosing party to legal liability.

Business Information

Any non-public business information, member information, or program details observed or obtained through membership or use of the Sites is confidential and may not be shared with third parties for a period of three (3) years following termination of membership.

Prohibited Conduct

The following conduct is strictly prohibited and may result in immediate termination, legal action, or both:

The prohibitions relating to location disclosure, identity disclosure, unauthorized guests, and unauthorized distribution are Zero Tolerance Violations that result in immediate, permanent termination with no refund and forfeiture of all rights in all Works.

Termination

By Meridian

Meridian reserves the right to terminate any membership, revoke portal access, or restrict access to the Sites at any time, with or without notice, for any violation of these Terms, the applicable Membership Agreement, or applicable law. Zero Tolerance Violations result in immediate termination with no right to cure.

Survival

The following provisions survive termination of membership or these Terms: intellectual property ownership, confidentiality obligations, limitation of liability, and governing law.

Disclaimers

THE SITES AND ALL CONTENT, SERVICES, AND PROGRAMS PROVIDED BY REACHMERIDIAN LLC ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Meridian does not warrant that the Sites will be available without interruption, that any errors will be corrected, or that the Sites are free of viruses or other harmful components. Your use of the Sites is at your sole risk.

Meridian does not guarantee specific outcomes from participation in its programs, including career advancement, distribution success, or commercial performance of any Work.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REACHMERIDIAN LLC, ITS SOLE MEMBER, AGENTS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITES OR PARTICIPATION IN ANY MERIDIAN PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MERIDIAN'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS EXCEED THE TOTAL MEMBERSHIP FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles. Any dispute arising from these Terms shall first be submitted to non-binding mediation administered by the American Arbitration Association (AAA) or JAMS. If mediation does not resolve the dispute within sixty (60) days, litigation may be initiated exclusively in the state or federal courts located in Camden County, New Jersey.

In any action to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and court costs.

Changes to These Terms

Meridian reserves the right to modify these Terms at any time. Updated Terms will be posted to this page with a revised effective date. For active members, material changes will be communicated via email to the address on file. Continued use of the Sites or participation in the program following the effective date of updated Terms constitutes acceptance of those changes.
